These Terms of Service ("Terms") govern your use of StraightBid ("Service"), operated by StraightBid LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
StraightBid is a software-as-a-service platform that allows contractors to create, send, and manage project proposals and invoices. The Service includes proposal generation, PDF export, customer management, digital signatures, and related tools.
StraightBid is not a legal contract advisor and does not provide legal, tax, construction, or business advice. Nothing in the Service or any output generated by the Service constitutes legal advice. You are responsible for consulting qualified legal counsel regarding the enforceability and sufficiency of any proposal, contract, or invoice you create or send using the Service.
You must be 18 years or older to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
StraightBid offers a free tier and paid subscription plans. Paid plans are billed monthly or annually as selected at checkout. All fees are charged in USD.
Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period unless you cancel before the next billing date.
Cancellation. You may cancel your paid subscription at any time through your account settings. Cancellation stops future billing. You will retain access to paid features through the end of your current paid billing period. We do not provide refunds or credits for partial periods, except where required by applicable law.
Price Changes. We reserve the right to change pricing with 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Non-Payment. Failure to pay will result in downgrade to the free plan at the end of the billing period.
The free plan allows up to 3 proposals per calendar month. Additional features including custom branding, logo upload, AI-assisted content, and automated follow-up emails are available on paid plans only.
You agree not to: (a) use the Service for any unlawful purpose; (b) send unsolicited or misleading communications to customers; (c) upload malicious code or attempt to interfere with the Service; (d) resell or sublicense access to the Service without written permission; or (e) misrepresent your identity or affiliation in proposals sent through the Service.
You retain ownership of all content you create using StraightBid, including proposals, customer data, company information, and uploaded logos. You grant StraightBid a limited license to store and transmit this content solely to provide the Service.
We do not sell your content. We may use trusted third-party service providers to host, store, transmit, process, analyze, or support your content solely as necessary to operate and improve the Service, as described in our Privacy Policy.
When you enter customer information (names, emails, phone numbers, addresses) into StraightBid, you represent that you have a legitimate business relationship with those individuals and the right to use their information for the purpose of sending proposals. You are responsible for your own compliance with applicable data protection laws, including obtaining any required consent before contacting customers via email or SMS.
StraightBid allows your customers to review and digitally sign proposals and documents through the Service. By using the digital signature feature, you acknowledge that:
When you or your customers submit information through the Service (including signing a proposal), you consent to receiving communications from StraightBid electronically. By providing a phone number, you consent to receive transactional SMS messages related to your account. Standard message and data rates may apply.
You are solely responsible for the accuracy, completeness, and legality of all proposals, quotes, and invoices you create and send through the Service. This includes but is not limited to:
StraightBid is a tool to help you create and send documents — it does not review, verify, or take responsibility for the content of any proposal or invoice you generate.
StraightBid may offer features powered by artificial intelligence or machine learning to assist with proposal content, descriptions, or other text generation ("AI Features"). By using AI Features, you acknowledge that:
StraightBid and its logos, software, design, and content are owned by StraightBid LLC and protected by copyright and trademark law. Nothing in these Terms grants you ownership of any StraightBid intellectual property.
The Service integrates with or relies on third-party services, including but not limited to Supabase (database and authentication), Stripe (payment processing), Resend (email delivery), and Vercel (hosting infrastructure). Your use of these third-party services may be subject to their own terms and privacy policies.
We are not responsible for the availability, accuracy, security, or performance of any third-party service. Outages, failures, or data breaches caused by third-party providers are outside our control, and StraightBid LLC shall not be liable for any loss or damage arising from such events. We will make reasonable efforts to notify you of known third-party service disruptions that materially affect your use of the Service.
We strive for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect paid subscribers.
Beta Features. We may offer features designated as "beta," "preview," or "early access." These features are provided as-is, may be unstable, and may be modified or discontinued without notice. Beta features are not covered by any service level commitments.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT ANY PROPOSAL SENT THROUGH THE SERVICE WILL RESULT IN A SIGNED CONTRACT OR LEGALLY BINDING AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRAIGHTBID LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
WITHOUT LIMITING THE FOREGOING, STRAIGHTBID LLC SHALL NOT BE LIABLE FOR ANY DISPUTES BETWEEN YOU AND YOUR CUSTOMERS ARISING FROM OR RELATED TO ANY PROPOSAL OR INVOICE CREATED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO DISPUTES REGARDING PRICING, SCOPE OF WORK, MATERIALS, WORKMANSHIP, PAYMENT, OR PROJECT DELAYS.
You agree to indemnify and hold harmless StraightBid LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) the content of any proposal or invoice you create or send using the Service; or (d) any dispute between you and any of your customers.
You may cancel your account at any time through your account settings. We may suspend or terminate your account for violation of these Terms, non-payment, or any other reason with reasonable notice.
Data Retention and Deletion. Upon account termination or cancellation, your access to the Service ceases at the end of your current billing period (or immediately, in the case of termination for cause). We will retain your data for 30 days following the end of your access period, after which we may permanently delete your account data.
Your Responsibility to Export. You are solely responsible for exporting any proposals, invoices, customer records, or other data you wish to retain before your account is terminated or your access period ends. StraightBid LLC is not responsible for any data lost because you did not export it prior to account closure.
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Fulton County, Georgia.
We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
